Appointment. The Board may appoint one or more committees as needed. Each committee shall be comprised of one or more members of the Board of Directors. 5 The Board may appoint one or more alternates to replace any absent or disqualified members at a meeting of a committee.
8 In the event of the absence or disqualification of a member of a committee, the member or members present at any meeting and not disqualified from voting, whether or not they constitute a quorum, may unanimously appoint another member of the Board to act in the place of any absent or disqualified member.
Powers of the Committee. 8 The committee or committees, to the extent provided in the resolution of the Board will have and may exercise all the powers and authority of the Board in the management of the business and affairs of the Corporation, and may authorize the seal of the Corporation to be affixed to all papers which may require it. No such committee will have the power or authority in regards to the following matters:
Approving or adopting, or recommending to the Shareholders, any action or matter (other than the election or removal of Directors) expressly required by the Texas Business Corporation Act to be submitted to the Shareholders for approval; or
8 Adopting, amending or repealing any Bylaw of the Corporation.
Tenure. 9 Each member of a committee shall serve at the discretion of the Board.
