duties to the company that prevent the directors from pursuing their own interests. The duty of loyalty is the most important fiduciary duty that acts as a defence for the company against unscrupulous directors. It is intended to address the issue of conflict of interest between the directors and the firm. Under this duty, the directors of a company are expected to act in the company’s interests, as opposed to their own. Conflicts of interest between the director and the company may arise during transactions between related parties, known as self-dealing transactions. They are referred to as self-dealing transactions because the directors are doing business with themselves, which makes it impossible for them to reach a fair agreement for the company (Wade, 2011). However, it is important to note that it is impractical to impose a ban on self-dealing transactions, especially for small companies. Consequently, most countries allow self-dealing transactions in companies, provided that the deals have been approved by the other directors. Corporate opportunities can also be a source of conflict between the interests of the director and those of the company. This is where the director takes advantage of opportunities that are of a commercial interest to the company (Davis and Whitley, 2009, pp. 38). The duty of loyalty also places other expectations on the directors of a company. They are required to abstain from engaging in any form of fraudulent behaviour, which includes theft of…

Finally the day was Wednesday the 13th of August. I was so excited to be attending the Jackson County Fair with Ryan, my boyfriend, this year. But the one thing I wasn 't excited for was to ride The Ring Of Fire. This was the ride I gazed at from my house, three blocks away. Sixty feet high in the sky, round like a ferris wheel, passengers would sit in a caged style ride, that looped around clockwise and counterclockwise, and occasionally stops at the top. The fire engine red loop reminded…

I am not a person who can easily meet and connect with new people. UC Davis offers a lot of events for its students, some of them are very exciting like the…

He has helped me at the county fair, our 4-H banquet and he even checks on my dog when I am out of town for the weekend. I am thankful to have his help when it comes to these situations! According to Scales, Benson, Leffert, and Blyth (2000), self-esteem may be related to the act of helping others. This would explain what Codey believes to be his best asset: the ability to intellectually voice his opinion with reason when in a discussion. Codey is also passionate about helping others in…
