It is intended to address the issue of conflict of interest between the directors and the firm. Under this duty, the directors of a company are expected to act in the company’s interests, as opposed to their own. Conflicts of interest between the director and the company may arise during transactions between related parties, known as self-dealing transactions. They are referred to as self-dealing transactions because the directors are doing business with themselves, which makes it impossible for them to reach a fair agreement for the company (Wade, 2011). However, it is important to note that it is impractical to impose a ban on self-dealing transactions, especially for small companies. Consequently, most countries allow self-dealing transactions in companies, provided that the deals have been approved by the other directors. Corporate opportunities can also be a source of conflict between the interests of the director and those of the company. This is where the director takes advantage of opportunities that are of a commercial interest to the company (Davis and Whitley, 2009, pp. 38).
