There are two different contracts for const. and FF&E b/c
construction contracts are governed by common law that regulates services and FFE is governed by statutory law that regulates the sale of goods.
Basic Provisions for Owner-Vendor Agreement
* include a description of the work
* the time of commencement (from this date that construction completion time is measured, can be a specific calendar date, or a date when the contractor is given a notice-to proceed letter by the owner)
* substantial completion (for vendors this is a date of completion- specific calendar date)
* the contract sum (states the compensation the vendor will receive for doing the work)
(retainage)
to protect the owner, a certain % of each payment (usually 10%) is often withheld until the final completion of the work

liquidated damages
* are moneys paid by the contractor to the owner for everyday the project is late
* e.g. may be the amount of the extra rent when paying double rent

the seller (manuf) is responsible for shipping and/or recovering any damage or loss during shipment (aka FOB factory-freight pre-paid)
Duties and Responsibilties of the Owner:

* separate purchase orders for each manuf. or supplier providing the goods
* based on the purchase orders, the manuf. prepares acknowledgments that are reviewed by the vendor prior to manufacture or order filling
* supervises work and pay for labor, materials, FF&E,
o sends payment requests to the owner for moneys paid out by the vendor
* prepares a work schedule

the detention of a ship in port by the ship owner, or of a railroad car or truck by it's owner, beyond the time agreed upon
