Bursa Malaysia is the frontline regulator of the Malaysian capital market and has the duty to maintain a fair and orderly market in the securities and derivatives that are traded through its facilities. As an integrated exchange, Bursa Malaysia also has the duty to ensure orderly dealings in the securities deposited with Bursa Malaysia, and orderly, clear and efficient clearing and settlement arrangements for transactions cleared and settled through its facilities. Malaysian Securities Commission established 1 March 1993 under the A Securities Commission Act 1993. Securities Commission is a self-funding statutory body with investigative and enforcement powers. It report to the Minister of Finance and its accounts are tabled in Parliament annually. The Securities Commission many regulatory functions include:
❖ Supervising exchange, clearing houses and central depositories.
❖ Registration authority for prospectus of corporation other than unlisted recreational clubs.
❖ Approving authority for corporate bond issues.
❖ Regulating all matters relating to securities and derivatives contracts.
❖ Regulating the take-over and mergers of companies.
❖ Regulating all matters relating to unit trust schemes.
❖ Licensing and supervising all licensed personas.
❖ Encouraging self-regulating.
❖ Ensuring proper conduct of market institutions and licensed persona.
Underpinning all the functions is the Securities Commission’s ultimate responsibility of protecting the investor. Apart from discharge its regulatory functions, the Securities Commission’s is also obligated by statute to encourage and promote the development of the securities and derivatives markets in Malaysia.
