Cover - B may purchase similar goods without unreasonable delay in substitution of these goods due under contract and sue seller for difference in price.
I - Incidental (REASONABLE expenses incurred by buyer) and consquential damages (ADDITIONAL LOSSES) incurred by Buyer. DAMAGES - If buyer doesn't cover and goods are nonconforming then measure of damages is k price -market price + incidential damges. SPECIFIC PERFORMANCE - on a k for unique goods that is abailabel to a buyer where goods are unique and buyer cannot cover. Demanding ASSURANCES of performance - If rsnbl grounds exist for buyer's insecurity, buyer can suspend any further performance and in writing demand adequate assurances of Seller's future performance, requiring S to tender proof that S can and will perform RESELL - When a B breaches a k on goods not yet delivered, or on goods that S has stopped in transit, S can resell those goods and sue B for the damages. |
