    XYZ. ABC’s salesman, Mr. Jones, sent an email to his counterpart at XYZ, Ms. Smith, stating that the device was urgently needed for life-saving surgery the following day. XYZ manufactured the device using its usual procedures. Although the device was promptly and timely manufactured, XYZ was unable to correctly comprehend a garbled voicemail message and manufactured the device with incorrect specifications. Further, and as a result of the garbled voicemail message, XYZ shipped the nonconforming device to the wrong destination. As a result of the confusion, the device did not reach the correct hospital. The patient died as a direct and proximate result. The patient’s family filed a wrongful death and survivor action against ABC. ABC filed a third-party complaint for indemnity against XYZ and XYZ filed a counterclaim against ABC for breach of contract.
