Scope


It prescribed by the Institute of Chartered Accounts of India, deals with accounting for Amalgamation.

Amalgamation

It means pursuant of provisions of Companies Act, 1956 or any other statue which may be applicable to the companies.


It involves acquisition of one company by another.


After Amalgamation, acquired company dissolved.

Transferor Company

It means a company which amalgamated into another company (Vendor Company).


Transferee Company

It means the company into which Transferor company is Amalgamated (Purchasing Company)

Merger

Amalgamation falls into two categories Merger and Purchase.


In Amalgamation by the way of Merger both acquiring and acquired companies merges and becomes single company.


It is a pooling of not assets and liabilities but also shareholders and business funds.

Purchase

In Amalgamation by way of Purchase, one company acquires another company.


Shareholders of the acquired company do not become shareholder of the acquiring company.
