SALES AGREEMENT
THIS SALES AGREEMENT (the “Agreement”) dated this 18th day of May, 2015.

BETWEEN:

Brenda Smith of 123 Main St., Podunk, Iowa
(The ‘Seller’) OF THE FIRST PART
-AND-
Jim Hodges of 456 First St., Secondville, Michigan
(The ‘Purchaser’) OF THE SECOND PART

IN CONSIDERATION OF THE COVENANTS and agreements contained in this Sales Agreement, the parties to this agreement agree as follows:

Sale of Goods

1. The seller will sell, transfer and deliver to the purchaser before June 1, 2015, the following goods (the ‘Goods’) 10,000 widgets from BWI.

The Seller will provide at its expense insurance on the Goods insuring the Purchaser’s interest as they appear, until payment is made in full to the Seller.

Warranties 7. THE GOODS WILL BE SOLD IN NEW CONDITION AND THE SELLER WILL BE LIABLE FOR ALL WARRANTIES INCLUDING BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE. The Purchaser does not assume, or authorize any other person to assume on behalf of the Purchaser, any liability in connection with the sale of Goods. The Purchaser’s above disclaimer of warranties does not, in any way, affect the terms of any applicable warranties from the manufacture of the Goods. 8. The Purchaser has been given the opportunity to inspect the Goods or to have it inspected and the Purchaser will accept the Goods only if in the condition desired and as stated in the Agreement. Further, the Seller will provide warranty on the condition of the Goods.

Title

9. Title to the Goods will be with the Purchaser until delivery of the actual receipt of the Goods, where then the Purchaser will inspect Goods and complete order purchase if items are to the Purchaser’s liking. Security Interest 10. The Seller retains a security interest in the Goods until paid in full.

Inspection 11. Inspection will be made by the Purchaser at the time and place of the delivery.
