A) The obligations that we will perform before the Franchised Business opens:

Before you open your business, Double Aces will:

1) Designate your exclusive territory.

2) Provide assistance to site selection. The site must be at least 3,000 square feet in area, and there should be at least 40 parking spaces.

3) Approve your site. Factors that Double Aces considers in approval of site selection include: population density, demographics, location, traffic patterns, competition, visibility, price per square foot, etc. We will notify you our decision within 30 days after submission of a site proposal.

4) Within 45 days of your signing the Franchise Agreement, we will

Operations

Each week for the first three months of your opening of casino, Double Aces will telephone to discuss your operational problems.

Double Aces will hold an annual conference at our headquarter. We aim to discuss operational problems, advertising, personnel training, bookkeeping, inventory control, performance, etc. There is not conference fee, but you are responsible for your travel and living expenses.

Marketing

We have developed a national marketing fund (National Fund) for the common benefit of System franchisees. We administer the National Fund under the supervision of Franchisee Advisory Council (FAC), which consists of elected franchisees from each region. All the franchisees must participate in the National Fund and pay an equal percentage of your gross sales to Double Aces. See Item 6 of this offering circular.

Monies collected through the National Fund will be used for the local or regional marketing to promote our brand and services. Marketing may include television, radio, and print media advertisements. We are not obligated under the Franchise Agreement to use National Fund contributions on advertising in the Territory or the geographic area in which your casino is

Current franchisees will receive a referral fee of $4,500 if they refer a candidate to us, who later become a franchisee. The program may or may not be modified or continued in the future.

Site Selection and Programming

You will operate a casino at the approved location agreed upon by you and us. Double Aces will assist you in site selection and price negotiation. We will provide information about the population density, traffic patterns, demographics, etc. You will enjoy exclusive territory. See Item 12 of this offering circular.

Franchisees typically open their casinos four to seven months after signing the Franchise Agreement. The actual length of this period varies and depends on various factors, such as the ability to obtain financing, training schedules, weather conditions, shortages, and so on. Under the Franchise Agreement, you must open your casino no later than 365 days after we sign the agreement. Otherwise, we reserve the right to terminate your Franchise Agreement.
