Role and Functions of Law
Every civilization that has existed has implemented rules that govern how that civilization should live and act, these rules and practices are what we call laws. The definition of law according to Merriam-Webster (2012), a binding custom or practice of a community: a rule of conduct or action prescribed or formally recognized as binding or enforced by a controlling authority. Within this civilization there are groups of people that live and form communities these are what are called a society, they abide by the laws of the land. According to Melvin (2011), Substantive laws provide individuals with rights and create certain duties. Procedural laws provide a structure and set out rules for pursuing substantive rights (Chapter 1). Common law is essentially law made by courts; that is, law that has not specifically been passed by the legislature, but rather law that is based on the fundamentals of previous cases that had similar facts (Melvin, p.10 Chapter 1, 2011). Laws are intended to govern the actions and conduct of individuals, without this deterrent society would collapse.
Businesses are also governed by the same laws as society, both society and businesses are dependent on laws to thrive, the law provides businesses with the opportunity of rules of conduct, ethical standards, and a means of settling disputes. The law also provides other functions for businesses which are, economic growth through free competition, protecting the environment, and measures to enforce the rules. The same effect would be realized if businesses did follow the laws, chaos would ensue and commerce would collapse. Businesses are governed by the same types of law as society, civil, criminal, etc.; they have protection from these laws and can be punished by these same laws.
