According to the article, Mr. Zarley signed and agreed to the contract which also bounded him to comply with the code of Business Conduct, where it is clearly mentioned not to engage in any kind of activity including bribery and kickbacks. Furthermore, it is also stated that if an employee has been approached by anyone and was proposed to engage in such activity – it must be reported to the manager. It is true that Zarley refused the offer made by Mr. Brady, however, due to desire to protect Brady from getting into trouble he did not follow the rules, which are written in his agreement, thus he breached the contract. The breach of contract is a legal cause enforced by the court, thus by violating one of its clauses, Mr. Zarley exposed himself to a lawsuit.
