A warranty is an assurance in the contract. It is assurance form the seller to the buyer of products, or services. This means if a product is sold it will have a warranty, meaning if it breaks the customer may have a refund or this product exchanged. The business should be aware of these and stick to product warranties as failure to do so means you are breaching a contract and normal procedures can follow from this contract breach. What happens in breaches of contracts?…

    Petrograd Case Summary

    • 5 Pages

DISCUSSION Petrograd will very likely be able to sustain just compensation from Coleman’s breach of warranty despite any statute of limitations concerns. While agreements involving intellectual property have yet to be definitively resolved in this state, a court is likely to find the contract between Petrograd and Coleman analogous to a sale of services, and therefore appropriate to be governed under Section 8106 of the Delaware commercial code. Alternatively, even if a court were to find the contract sufficient as a sale of goods, and appropriate to be governed under Section 2-725 of the state’s uniform commercial code,…

For the benefited party to enforce a covenant, there must be either actual notice or constructive notice. Typically, one has constructive notice if a recorded deed in the chain of title contains the specific restriction. However, this is not always necessary. In Westland Oil Development Corporation v. Gulf Oil Corporation, the Texas Supreme Court addressed to what extent a reference to an unrecorded instrument within the chain of title could impart constructive notice to a subsequent assignee. COMMERCIAL LAW Student number: 1400547; Word count:2,173 words The Sale of Goods Act 1979 is a consolidation of the 1893 act and subsequent legislation which places numerous legal obligations on business sellers apart from the agreed express contractual terms. These terms, although not expressly provided for in the contract are fictionally ‘incorporated’ into the contract for consumer protection and also because the contract does not make any commercial sense without them, they are referred to as implied terms. The statutory implied terms that concern sale of goods are embedded in section 13-15 of the 1979 act and in practice do not affect each other like in Arcos Ltd v E A Ronaasen & Son where the goods were of satisfactory quality and fit…
