I agree with you in that shareholder value can bring out negative consequences. Did you get a chance to read about the Dodge v Ford case? Dodge took action against Ford to make them pay more substantial dividend. Ford was the dominant manufacturer; he knew that the price was negatively impacting the short-term profits. Instead of paying dividends, Ford wanted to expand the company. Management positions will not be challenged if the whole company is benefiting.
