This memo is in response to your request for my opinion regarding Sister Doris Gormley’s letter, and your subsequent draft response. First, let me thank you for considering my professional judgement on your response letter about admitting women and minorities with well-educated backgrounds to the Board of Directors. The letter makes some very important points, and explains why our company has a board that lacks the diversity that her organization is seeking. Let me assure you that your concerns are well noted. The semi-conductor business has a tough and significant competition from the Japanese, Koreans and Taiwanese. For these reasons, our board of directors is a critical management function. The selection Criteria for Cypress Board membership are as follows:
• Experience as a CEO of an important technology company.
• Direct expertise in the semiconductor business based on education and management experience.
• Direct experience in the management of a company that buys from the semiconductor industry.
A search based on these criteria usually yields a male who is 50+ years old, has a master’s degree in an engineering science, and has moved up the managerial ladder to the top spot in one or more corporations. Unfortunately, there are currently few minorities and almost no women who chose to be engineering graduate students 30 years ago.
