Comparing The Bank Of America And Merrill Lynch Merger Of 2009

Integration can be split into different types, depending on the structure of the merger deal. Figure 6 summaries the most usual types of integration and the predictable amount of integration support needed.
An example of where integration was not managed correctly can be seen in the Bank of America and Merrill Lynch merger of 2009. This merger failed due to the failings in interacting integration plans early. The merger was under stress and there was disruptions in communication that lead to major cracks in the establishment (Zhu, 2014). This shows how crucial it is for organisations to communicate their plans around leadership and organisational changes as early as possible.

Vision looks forward to desired outcomes and often looks to growth opportunities and therefore implies a need for leadership (Calland, 2015). Acting as CEO, delivery of a speech to top managers to communicate the personal vision will highlight the envisioned future for the merged companies. As the organizational future likely includes transformational change, delivery of the vision shortly after acquisition and in advance of any actual changes is considered indispensable (Jick & Peiperl, 2011, p. 113).…

Many organizations bring in new leaders and literally throw them a set of keys with a proverbial, "Go for it" expectation. What these organizations fail to realize is that they've more than likely doomed that new leader to failure (sustained underperformance can be worse than starting over) and wasted untold amounts of resources. On top of recruitment and salary, wage and benefit spend, these resources include but are not limited to; poor performing direct reports of the new leader who have a much more significant likelihood of leaving the organization, missed new business opportunities, new product or service line delays, as well as disgruntled to poorly performing peers of the new, struggling leader. Successful transitions are essential for high performing organizations to stay high performing. The book highlights these insights very well and lays out a plan for anyone transitioning into a new role, whether or not it is a promotion within their same company or being hired into a new…

Good skills in communicating change contribute to the process and outcome of organizational change in terms of resistance problems (Paton and McCalman, 2008). Leaders need to communicate and create a context for the change, which is accord with the first step of establishing a sense of urgency of Kotter’s (1996) eight-step model. The critical element of this phase is for leader to gather as much information about external environment as possible (Burke, 2011) to obtain insight into the reason why such change is important and needed. Specifically, Carp and Perez should firstly make effort to master information such as changing technology in the industry and what competitors such as Canon, Epson are up to, etc., then to evaluate those information and set up short-term goal, before jumping into the change process too quickly. Two unsuccessful mergers/acquisitions were Bank of America’s acquisition of Countrywide and the AOL and Time Warner merger. Bank of America made the decision to acquire Countrywide at what was considered a low price of $2.5 billion dollars. AOL and Time Warner merged their company together as “AOL would own 55 percent of the new company and Time Warner, 45 percent. But the new board would have an equal number of AOL and Time Warner directors” (Arango, 2010, para. 25). Both of these deals are considered failures, and many in business consider the AOL and Time Warner deal to have been one of the worst deals ever because of the fallout.…
